1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Navia ("we," "our," or "us") governing your access to and use of our platform at joinnavia.com ("Service"). By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

2. Description of Service

Navia is a productivity and peer-matching platform built for neurodivergent individuals. The Service includes:

• Task and calendar management with AI-powered insights.
• Integration with third-party tools: Google Calendar, Outlook (Calendar + Mail), Gmail, Notion, and Obsidian.
• AI-driven recommendations, semantic search, and personalized content.
• Peer matching based on shared interests, challenges, and goals.
• Note-taking, knowledge management, and performance analytics.

3. Eligibility

You must be at least 18 years of age to access or use this Service. By using the Service, you represent and warrant that you are 18 years of age or older and have the full legal capacity to enter into these Terms. If you do not meet this requirement, you are prohibited from accessing the Service. We reserve the right to terminate any account we have reason to believe belongs to a user under 18.

4. Account Registration

4.1 Account Creation

• You must provide accurate, current, and complete registration information.
• You are responsible for maintaining the confidentiality of your credentials.
• You are responsible for all activity occurring under your account.
• You must notify us immediately of any unauthorized access or suspected security breach at naviaapp.ai@gmail.com.

4.2 Account Suspension or Termination

We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent or illegal activity, or if we are legally required to do so.

5. User Responsibilities and Acceptable Use

You agree to use the Service only for lawful purposes. You must not:

• Interfere with or disrupt the Service, servers, or networks.
• Attempt to gain unauthorized access to any part of the Service or other user accounts.
• Upload or transmit malicious code, viruses, or harmful content.
• Impersonate any person or entity, or misrepresent your affiliation.
• Scrape, harvest, or collect user data without explicit permission.
• Violate the intellectual property rights of Navia or any third party.
• Violate any applicable local, national, or international law.

6. Third-Party Integrations

6.2 Authorization and Responsibility

• By connecting a third-party service, you grant Navia permission to access and sync the specified data.
• You are responsible for maintaining valid credentials and permissions for connected services.
• Third-party services are governed by their own terms of service and privacy policies.
• We are not responsible for changes, interruptions, or failures in third-party services.
• Disconnecting an integration immediately deletes all associated synced data from our systems.

7. Intellectual Property

7.1 Our Content

The Service, including all content, features, and functionality, is owned by Navia and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, reverse engineer, or remove proprietary notices from any part of the Service without prior written consent.

7.2 Your Content

You retain ownership of all content you create or upload ("User Content"). By using the Service, you grant Navia a worldwide, non-exclusive, royalty-free license to store, process, and use your User Content solely to provide and improve the Service and facilitate peer matching in anonymized form. You warrant that your User Content does not violate any applicable law or third-party rights.

8. Artificial Intelligence and Automated Processing

The Service uses AI and machine learning to generate recommendations, match peers, and organize content. AI-generated outputs may not always be accurate — you should verify important information independently. Navia is not a medical device or healthcare provider and does not provide medical advice, diagnosis, or treatment.

9. Peer Matching

• Matches are algorithmic suggestions only; we do not guarantee compatibility or outcomes.
• You control what profile information is visible to matched peers.
• You may unmatch or block any user at any time.
• You are solely responsible for your interactions with other users.
• Report inappropriate behavior to naviaapp.ai@gmail.com.

10. Payment and Subscriptions

Navia is currently offered free of charge. We reserve the right to introduce paid features or subscription tiers in the future with advance notice of pricing, billing terms, and refund policies.

11. Disclaimers of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NAVIA AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL CUMULATIVE LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE PRIOR 12 MONTHS OR $100 USD.

13. Indemnification

You agree to indemnify, defend, and hold harmless Navia and its affiliates from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your User Content.

14. Modifications to Terms and Service

We may modify these Terms or the Service at any time. For material changes, we will post updated Terms, send an email notification to your registered address, and display an in-app notice. Continued use after the effective date constitutes acceptance.

15. Termination

15.1 By You

You may delete your account at any time via account settings or by emailing naviaapp.ai@gmail.com. Your data will be permanently removed within 30 days.

15.2 By Navia

We may suspend or terminate your account immediately for violations of these Terms, illegal activity, or if legally required. Some information may be retained as required by law.

16. Dispute Resolution

16.1 Governing Law

These Terms are governed by the laws of the State of Arizona, USA, without regard to conflict of law provisions.

16.2 Arbitration

Except for small claims court actions, injunctive relief, or intellectual property disputes, any controversy arising from these Terms shall be resolved by binding arbitration under the rules of the American Arbitration Association.

16.3 Class Action Waiver

You agree to resolve disputes with Navia on an individual basis only. You waive the right to participate in any class action or representative proceeding.

17. General Provisions

• Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and Navia regarding the Service.
• Severability: If any provision is found invalid, the remaining provisions remain in full force.
• Waiver: Failure to enforce any provision does not constitute a waiver thereof.
• Assignment: You may not assign these Terms without our written consent. We may assign to any affiliate or successor.
• Force Majeure: We are not liable for failures resulting from circumstances beyond our reasonable control.
